Terms of Sale

1. About these terms

These terms apply when you place an order with Lumen Wellness Devices ("Lumen Devices", "we", "us") for the supply of diagnostic medical devices and related products or services. By placing an order, you agree to be bound by these terms. If you do not agree, please do not place an order.

Lumen Devices supplies medical devices primarily to clinicians, medical practices, hospitals, veterinary practices, and other professional buyers. These terms are written on the assumption that you are buying in the course of a business or profession.

2. Products we supply

We supply a curated range of CE-marked diagnostic devices and related platforms. The current range is set out on our website and includes (but is not limited to):

Lumen Devices is the supplier and distributor of these products. The manufacturer of each product remains the legal manufacturer for the purposes of medical device regulation and product warranty (see Section 8).

3. Pricing and VAT

Prices shown on our website are in euro and are clearly marked as either inclusive of VAT or exclusive of VAT. The applicable rate of VAT will be charged at the rate prevailing on the date of order, in accordance with Irish VAT law.

Where shipping, installation, or training is not included in the headline price, this will be made clear at order confirmation.

Prices may change from time to time. The price applicable to your order is the price displayed at the time you place the order.

4. Orders, acceptance, and contract formation

Your order is an offer to buy from us. A binding contract is formed only when we accept your order, which we may do either by sending you written order confirmation or by dispatching the product, whichever is earlier.

We may decline an order at our discretion, including (without limitation) where stock is unavailable, where the price displayed contains a manifest error, or where we believe the order is unsuitable for the buyer. Where we decline an order, any payment taken will be refunded in full.

5. Payment

Payment is processed by our payment provider, Stripe. We accept major debit and credit cards. Card data is collected and stored by Stripe under its own policies; Lumen Devices does not see or store your full card number.

For larger orders, or where requested, we may agree to invoice payment terms in writing. Where invoicing is agreed, payment is due within 30 days of invoice date unless otherwise agreed.

6. Delivery and risk

We aim to dispatch in-stock orders within 5 business days of order confirmation. Lead times for some products may be longer; we will tell you the expected lead time at point of order. Delivery dates are estimates and not contractual deadlines.

Risk in the goods passes to you on delivery. Title in the goods passes to you when we have received payment in full.

7. Inspection and acceptance

Please inspect goods on delivery and notify us in writing within 7 days of any visible damage, missing items, or incorrect supply. Where the issue is our fault we will, at our option, replace the goods or refund the price.

8. Warranties

Each device we supply carries the warranty offered by its manufacturer. The standard manufacturer warranty period and conditions for each product will be set out in your order confirmation, and warranty claims will be processed by us in liaison with the manufacturer.

For devices supplied to professional buyers in the course of business, the implied terms set out in the Sale of Goods and Supply of Services Act 1980 may, where lawfully permitted, be modified or excluded. Nothing in these terms limits or excludes any right or remedy that cannot be limited or excluded under Irish law.

9. Returns

Because our products are clinical instruments, returns are accepted only in limited circumstances:

We do not accept returns of opened, used, or registered devices, except as set out above or as required by manufacturer warranty.

10. Software, subscriptions, and ongoing services

Where a product includes a subscription element (for example, ongoing per-test usage of the Seismofit platform, or future use of Sensora), the terms of that subscription will be set out separately at point of order or at activation. Subscriptions renew on the cycle agreed and may be cancelled in line with their own terms.

11. Limitation of liability

Nothing in these terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded under Irish law.

Subject to that, our total liability to you in connection with any single order is limited to the price paid by you for that order. We are not liable for any indirect or consequential loss, loss of profit, loss of revenue, loss of contract, loss of clinical opportunity, or loss of data.

12. Intended use and clinical responsibility

The devices we supply are intended to be used by qualified clinicians in line with each manufacturer's instructions for use. Clinical decision-making remains the responsibility of the treating clinician at all times. Lumen Devices does not provide medical advice in respect of individual patients.

13. Force majeure

Neither party is liable for delay or failure caused by events beyond their reasonable control, including acts of God, war, civil disturbance, industrial action, government action, fire, flood, epidemic, or failure of utilities or transport.

14. Governing law and jurisdiction

These terms and any contract formed under them are governed by the laws of Ireland. The Irish courts have exclusive jurisdiction over any dispute arising in connection with them, save that we may bring proceedings in any jurisdiction where you are established to enforce payment.
